1. Who we are and how these terms work
The Service is provided by Unwire Growth LLC, trading as Unwire Growth, a Wyoming limited liability company registered with the Wyoming Secretary of State under filing number 2026-002058685, with its principal office at 30 N Gould St #31848, Sheridan, WY 82801, United States (“Unwire Growth”, “we”, “us”, “our”).

These Terms of Service (“Terms”), together with our Privacy Policy, Refund & Cancellation Policy, Cookie Policy, the plan you select on our Pricing page and, for Managed plans, your written proposal, form the agreement between you and us (the “Agreement”). If a written proposal conflicts with these Terms, the proposal prevails for that engagement.
The Service is offered to businesses and to people acting in the course of a business. If you order on behalf of a company or other organisation, you confirm that you are authorised to bind it. Nothing in these Terms limits any rights you have under applicable consumer or business-protection law that cannot be limited by contract.
2. Definitions
- Assistant
- The AI-powered conversational assistant we build, configure and operate for you on your WhatsApp Business number, together with its knowledge, behaviour rules and integrations.
- Brief
- The written summary of what the Assistant will and will not do, produced after the kickoff call and approved by both of us before we build. The Brief is the reference for the scope of the Assistant and for our first-month guarantee.
- Setup
- The one-time work of briefing, building, training, testing and connecting the Assistant to your number, up to Go-live.
- Go-live
- The moment the Assistant begins responding to real customers on your number, with your approval.
- Subscription
- The ongoing monthly service of operating, monitoring, updating and supporting the Assistant after Go-live, as described in your plan.
- Conversation
- One customer’s thread with the Assistant within a rolling 24-hour window, however many messages are exchanged in it.
- Materials
- Everything you give us to build the Assistant: price lists, catalogues, policies, documents, website content, past conversations, tone guidance, integration access and similar.
- Meta Platform
- The WhatsApp Business Platform (Cloud API), Meta Business accounts, WhatsApp Business Accounts, and related tools and policies operated by Meta Platforms, Inc. and its affiliates.
- End Users
- The people who message your WhatsApp number and interact with the Assistant.
3. The Service: what we sell and what you receive
Unwire Growth sells a managed service, not a software licence. It has two parts, priced separately and described in full on the Pricing page:
- Setup (one-time fee). We interview you, write the Brief, build and train the Assistant on your Materials, test it against realistic conversations, set up the WhatsApp Business Platform on your number inside your own Meta Business account, guide you through Meta business verification and display-name approval, configure the integrations included in your plan, and take the Assistant live once you approve it.
- Subscription (monthly fee). After Go-live we operate the Assistant: we host and run it, monitor conversations and connection health, fix errors, make answer changes within your plan’s allowance when your business changes, provide support within the response times of your plan, and send you a monthly written summary. Growth and Managed plans include a monthly review call.
On completion of Setup and for the duration of the Subscription you receive:
- A WhatsApp Business Platform account configured in your Meta Business portfolio, with your number registered and your display name and business profile submitted for approval;
- An Assistant built and trained on your business, tested and approved by you against the Brief before Go-live, operating with the coverage of your plan (business hours on Starter; 24/7 on Growth and Managed);
- The behaviour, handover and escalation rules from the Brief, configured and documented;
- The integrations included in your plan, configured as agreed in the Brief;
- Ongoing operation: monitoring, fixes, updates when your business changes and answer changes within your plan’s allowance;
- A monthly written summary; a monthly review call on Growth and Managed;
- Support by email (all plans) and WhatsApp (Growth and Managed), within your plan’s stated response times;
- On request, an export of your conversation data and, on termination, handover of administrator access to your Meta assets.
The included Conversation volume is 500 Conversations a month on Starter and 2,000 on Growth. Volumes for Managed plans are set in the proposal.
4. What is not included
Unless your written proposal says otherwise, the following are not part of the Service and are not covered by our fees:
- Meta’s fees. Meta charges per message for certain business-initiated template messages (marketing, utility and authentication) at rates that vary by country. Meta bills these to your own WhatsApp Business Account. We do not collect them, route them or mark them up.
- Your payment provider’s fees. When an End User pays through a payment link the Assistant sends, your payment provider charges its usual fees. We do not process, hold or receive customer payments.
- Phone numbers, SIMs, carrier or virtual-number charges if you choose a new number.
- Integrations beyond your plan, custom software development, or work outside the Brief. We quote such work separately in writing before doing it.
- Human agents. The Assistant hands conversations to your team. We do not staff a call centre or answer your customers ourselves.
- Advertising, lead generation or traffic. The Assistant answers the people who message you; it does not find them.
- Guarantees of Meta approval. Business verification, display-name approval, template approval and account standing are decided by Meta under its own policies. We prepare and submit; Meta decides.
5. Plans, fees and billing
5.1 Prices
Current prices for Starter and Growth are published on the Pricing page and are quoted in US dollars, excluding applicable taxes. Managed plans are priced in a written proposal. The price in force when you order applies to your Setup and to your Subscription until changed under clause 5.7.
5.2 Setup fee
The setup fee is charged once, when you place your order. Setup work begins after we receive payment and your Materials. It covers the work described in clause 3 regardless of how many hours it takes us.
5.3 Monthly fee
The monthly fee is charged in advance. Your first monthly payment is taken on the day of Go-live and on the same calendar day of each following month (or the last day of shorter months). No monthly fee is charged while Setup is in progress.
5.4 Additional Conversations
If your Assistant handles more Conversations in a month than your plan includes, we notify you and bill the additional Conversations at US$15 per 100 on your next invoice, or, if it recurs, recommend the next plan. We do not charge per message and never bill overages without first notifying you.
5.5 Payment method and processing
Fees are payable by card through our PCI DSS-compliant payment processor. We do not store your full card details. Annual billing by invoice is available on Growth and Managed plans; invoices are payable within 14 days. You are responsible for any bank charges or currency-conversion fees applied by your bank.
5.6 Taxes
Prices exclude VAT, GST, sales tax and similar taxes. Where we are required to collect tax it is added and shown before you pay. If you provide a valid tax registration number and reverse-charge or exemption applies, tell us before ordering.
5.7 Price changes
We may change plan prices. Existing customers receive at least 30 days’ notice by email before a change applies to them and may cancel before it takes effect under clause 7. Changes never apply retroactively.
5.8 Failed payments
If a monthly payment fails we notify you and retry over the following 7 days. If payment is still outstanding 7 days after the due date we may pause the Assistant (it will stop replying and, where possible, tell End Users to expect a reply from your team) until payment is received. If payment is 30 days overdue we may treat the Subscription as cancelled by you.
6. Ordering, onboarding and delivery timeline
- Order. You choose a plan and pay the setup fee. We confirm your order by email within one business day and propose a kickoff call.
- Kickoff and Brief. On a 30-minute call we learn how you sell. You send us your Materials. Within 2 business days of receiving your Materials we send you the Brief for approval.
- Build and test. We build and train the Assistant against the approved Brief and give you a test number to try it.
- Connect. We set up the WhatsApp Business Platform in your Meta Business account, register your number, submit your display name and profile, and guide you through Meta business verification. You confirm the number when Meta sends its verification code and provide the documents Meta requires.
- Go-live. When you approve the test run we switch the Assistant on. Go-live is the start of your Subscription.
Typical timelines. Starter Assistants typically go live within 7 business days, and Growth Assistants within 10 business days, of our receiving your Materials and your approval of the Brief. Managed timelines are stated in the proposal. These are good-faith estimates based on our experience, not guaranteed dates. The steps that depend on you (Materials, approvals, verification documents, number confirmation) and on Meta (verification and approvals) are outside our control and can lengthen the timeline; when they do we tell you promptly what is needed. Our go-live guarantee in the Refund & Cancellation Policy applies to delays that are our fault.
7. Term, renewal and cancellation
Starter and Growth Subscriptions run month to month from Go-live and renew automatically each month until cancelled. There is no minimum term. Managed Subscriptions run for the initial term and notice period stated in the proposal.
How to cancel. Email billing@unwiregrowth.com from the email address on your account, or reply to any invoice. We confirm cancellation within one business day. Cancellation takes effect at the end of the billing period you have already paid for; the Assistant keeps running until then, and no further payments are taken. There is no cancellation fee.
After cancellation. Within 10 business days of the effective date we hand over administrator access to any Meta assets we hold on your behalf, provide an export of your conversation data if requested, and delete the Assistant’s knowledge base and configuration from our systems within 30 days, except as required by law or for billing records. Your number and Meta accounts remain yours throughout.
Cancelling during Setup. You may cancel before Go-live by email. The refund treatment of the setup fee is set out in clause 8 and the Refund & Cancellation Policy.
Cancellation by us. We may end a Subscription for convenience on 30 days’ written notice; in that case we refund any monthly fee paid for the period after the end date. Termination for breach is dealt with in clause 19.
8. Refunds
Our refund terms are specific and are set out in full in the Refund & Cancellation Policy, which forms part of these Terms. In summary:
- Setup fee refunded in full if you cancel within 7 days of ordering and before the kickoff call has taken place;
- Setup fee and any monthly fee paid refunded in full if we fail to reach Go-live within 21 business days of receiving your Materials and Brief approval, for reasons within our control;
- First monthly fee refunded if, within 30 days of Go-live, the Assistant does not perform as described in the Brief and we cannot fix it within 5 business days of your report;
- Monthly fees are otherwise not refunded for partial periods after cancellation;
- Duplicate or erroneous charges refunded in full.
9. Your responsibilities
You agree to:
- Provide accurate, current and lawful Materials, and tell us promptly when prices, availability, hours, policies or anything else the Assistant relies on changes;
- Review and approve the Brief and the test run in good faith and in reasonable time;
- Hold and maintain a Meta Business account and WhatsApp Business Account in your own name, comply with the WhatsApp Business Messaging Policy, WhatsApp Business Terms and Meta Commerce Policy as amended, and provide the documents Meta requires for verification;
- Obtain any consent required by law and by Meta’s policies before End Users are messaged, in particular for business-initiated (template) messages;
- Have someone available to receive and act on handovers from the Assistant, and keep the handover contact details current;
- Keep access credentials confidential and tell us at once if you suspect misuse;
- Provide End Users with your own privacy information as required by law where they message your number;
- Pay fees when due.
10. Acceptable use
You may not use the Service, and may not instruct us to configure the Assistant, to:
- Send unsolicited or bulk messages, or message people who have not contacted you or opted in as required;
- Sell or promote goods or services that are illegal where you or the End User are located, or that Meta’s Commerce Policy prohibits (including, among others, weapons, illegal drugs, tobacco, adult content and unlicensed financial products);
- Mislead End Users about who they are dealing with, what they are buying, or the fact that they are speaking with an automated assistant;
- Provide, or ask the Assistant to provide, medical, legal, financial or other professional advice that requires a licence, unless the advice is given by your appropriately licensed staff after handover;
- Harass, threaten, discriminate against or defame anyone;
- Collect sensitive personal data (health, biometrics, religion, political opinions, sexual orientation, criminal records) beyond what is strictly necessary and lawful for your service;
- Infringe anyone’s intellectual property or privacy rights;
- Attempt to reverse-engineer, extract or copy our systems, prompts or configurations, or resell the Service without our written agreement.
We may refuse, pause or adjust any configuration that we reasonably believe would breach this clause or Meta’s policies, and we will tell you why.
11. Third-party services: Meta, AI providers, payment providers
The Service depends on services we do not control. In particular:
- Meta. Messages are delivered through the WhatsApp Business Platform under Meta’s terms and policies. Meta decides on business verification, display names, message templates, messaging limits, quality ratings, account restrictions and its own pricing, and may change any of these at any time. We prepare submissions carefully and monitor your account’s standing, but we cannot guarantee Meta’s decisions or availability, and we are not liable for interruptions, restrictions or fees imposed by Meta.
- AI model providers. The Assistant’s replies are generated using large language models from third-party providers (currently OpenAI, Anthropic and Google) under agreements that prohibit training on your data. We may change providers or models to maintain or improve quality; if a change materially affects the Assistant we tell you.
- Payment providers. Payment links sent by the Assistant belong to your own payment provider and are governed by its terms. We never process, hold or receive End User payments.
- Integrations. Stores, calendars, sheets and CRMs connected to the Assistant are subject to their own availability and terms. If a third-party change breaks an integration we make reasonable efforts to restore it within your plan’s support terms.
Unwire Growth is an independent company. WhatsApp and Meta are trademarks of Meta Platforms, Inc. We are not affiliated with, endorsed by or sponsored by Meta.
12. AI-generated replies: nature and limits
The Assistant generates replies with artificial intelligence based on the Materials, the Brief and its configured rules. You acknowledge that:
- AI-generated replies can occasionally be inaccurate, incomplete or phrased differently from how you would phrase them. We instruct the Assistant not to invent prices, availability or policies and to hand over when unsure, and we test it before Go-live, but we cannot guarantee that every reply will be correct.
- The Assistant is not a person and is configured to say so. It does not make binding decisions on your behalf beyond what the Brief permits (for example, quoting listed prices or offering available booking slots).
- You are responsible for the accuracy of the Materials and for honouring what the Assistant tells End Users on the basis of accurate Materials and the Brief. Where the Assistant misstates something because of an error on our side, our responsibility is to correct it promptly and, where our first-month guarantee or the limitation of liability in clause 17 applies, as set out there.
- Conversation logs may be reviewed by our staff for quality assurance and to improve your Assistant, in accordance with our Privacy Policy. They are not used to train third-party models.
13. Data protection and confidentiality
Each of us complies with applicable data-protection law. For End User conversation data, you are the controller (or equivalent) and we act as your processor, processing that data only to provide the Service and on your documented instructions. Our Privacy Policy describes what we process, where, for how long and with which sub-processors. On request we enter into a data-processing agreement that includes standard contractual clauses where international transfers require them.
Each of us keeps the other’s confidential information (including your Materials, pricing and customer information, and our configurations, prompts and methods) confidential and uses it only for the Agreement, except where disclosure is required by law or the information is already public through no fault of the recipient. This obligation survives the end of the Agreement for 3 years, and for personal data as long as the law requires.
14. Intellectual property and ownership
- Yours. You own your Materials, your brand, your WhatsApp number, your Meta Business account and WhatsApp Business Account, your conversation data and any content the Assistant produces specifically from your Materials for your End Users. You grant us a licence to use the Materials solely to provide the Service.
- Ours. We own our platform, orchestration, tooling, prompt frameworks, templates, documentation and know-how, including improvements we make while serving you. Nothing in the Agreement transfers these to you. During the Subscription you receive the benefit of them through the Service.
- Your Assistant’s configuration. On request at any time during the Subscription, and on termination, we provide you with a human-readable copy of the Assistant’s knowledge base and behaviour rules as written for you, so you can take it elsewhere.
- Feedback. If you give us suggestions about the Service we may use them without obligation to you.
15. Support and service levels
Support is provided during our business hours (Monday to Friday, 9:00–18:00 (GMT+1)) by email on all plans and additionally by WhatsApp on Growth and Managed. Target first-response times are one business day on Starter and four business hours on Growth; Managed response times are stated in the proposal. Answer changes are included as stated for your plan.
We aim to keep the Assistant available around the clock and monitor it continuously, but availability also depends on Meta, our hosting and AI providers, and your integrations. We may perform maintenance, and we tell you in advance where it could affect the Assistant. Where a fault on our side leaves the Assistant unable to respond for more than 24 consecutive hours in a month, you may request a pro-rata credit of that month’s fee for the affected period, which is your exclusive remedy for unavailability except where clause 17 provides otherwise.
16. Warranties and disclaimers
We warrant that we will perform the Service with reasonable skill and care, in accordance with the Brief and these Terms, and that we have the right to enter into the Agreement. Except as expressly stated in the Agreement, and to the fullest extent permitted by law, the Service is provided without other warranties, express or implied, including any implied warranty of merchantability, fitness for a particular purpose or non-infringement. We do not warrant that the Assistant will generate any particular level of sales, leads or bookings, that it will be error-free or uninterrupted, or that Meta will approve or maintain any account, number, name or template.
17. Limitation of liability
Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law, including liability for death or personal injury caused by negligence, for fraud, or for wilful misconduct.
Subject to that:
- Neither of us is liable to the other for loss of profit, revenue, business, goodwill or anticipated savings, or for indirect, special or consequential loss, however arising;
- Our total liability to you arising out of or in connection with the Agreement in any 12-month period, whether in contract, tort (including negligence) or otherwise, is limited to the total fees you paid us in that 12-month period (or, if the claim arises before Go-live, the setup fee paid);
- We are not liable for acts, omissions, decisions, availability, pricing or policy changes of Meta, AI model providers, payment providers or other third parties, or for losses caused by inaccurate or unlawful Materials or by your breach of clause 9 or 10.
18. Indemnity
You will indemnify us against claims, fines and reasonable costs arising from (a) your Materials, products or services; (b) your breach of clauses 9 or 10 or of Meta’s policies; or (c) messages sent to End Users on your instruction without required consent. We will indemnify you against third-party claims that our platform, as provided by us and used in accordance with the Agreement, infringes that third party’s intellectual property rights. Each indemnity is conditional on prompt notice, reasonable cooperation, and control of the defence by the indemnifying party.
19. Suspension and termination for breach
Either of us may terminate the Agreement immediately by written notice if the other materially breaches it and, where the breach can be remedied, fails to remedy it within 14 days of being asked in writing. We may suspend the Assistant immediately, telling you why, if we reasonably believe it is being used in breach of clause 10 or Meta’s policies, if Meta restricts the account, or if fees are more than 7 days overdue under clause 5.8; we restore it once the issue is resolved. Where we terminate for your material breach no refund of the current period’s fees is due; where you terminate for our material breach we refund any prepaid fees for the period after termination.
20. Changes to the Service or these terms
We may improve or change how the Service is delivered (for example the AI models or infrastructure we use) provided this does not materially reduce what you receive. We may update these Terms; for existing customers, material changes take effect 30 days after we email you about them, and if you do not agree you may cancel before they take effect. The version of the Terms in force at any time is published at https://unwiregrowth.com/terms with its effective date.
21. Governing law and disputes
The Agreement is governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law rules, and the courts of the State of Wyoming, United States have exclusive jurisdiction, except that either party may seek injunctive relief in any competent court to protect its intellectual property or confidential information. If you are a consumer, or if mandatory law where you are located gives you additional protections or a different forum, those apply.
Before starting any proceedings, please email hello@unwiregrowth.com with the subject “Dispute”. We commit to a senior person reviewing and replying within 10 business days and to trying in good faith to resolve the matter for 30 days before either of us goes to court.
22. General
- Entire agreement. The Agreement is the whole agreement between us about its subject and supersedes prior discussions. Neither of us relies on any statement not set out in it, except that nothing limits liability for fraud.
- Assignment. You may not transfer the Agreement without our written consent (not unreasonably withheld). We may transfer it to a successor of our business on notice to you, without reducing your rights.
- Force majeure. Neither of us is liable for delay or failure caused by events beyond reasonable control, including outages of Meta, AI or hosting providers, provided the affected party tells the other promptly and makes reasonable efforts to mitigate. If such an event prevents the Service for more than 30 days, either of us may terminate and we refund prepaid fees for the period after termination.
- Notices. Notices to us go to hello@unwiregrowth.com; notices to you go to the email address on your account. Notices are treated as received one business day after sending unless a bounce is received.
- Severability and waiver. If any part of these Terms is found unenforceable the rest continues in force. A failure to enforce a right is not a waiver of it.
- Relationship. We are independent contractors. Nothing creates a partnership, agency or employment relationship.
- Language. These Terms are written in English. Any translation is for convenience only.
